AMD Agrees to Acquire World Labs in $8.2 Billion All-Stock Deal

AMD has reached a definitive agreement to acquire World Labs, an artificial intelligence research company led by AI pioneer Dr. Fei-Fei Li. The transaction is valued at approximately $8.2 billion and will be completed entirely in AMD shares, according to the company.

World Labs’ researchers and specialists in AI models are expected to join AMD once the acquisition is finalized. AMD says their expertise will help it build hardware, software and complete systems suited to the changing demands of AI models and applications.

The deal remains subject to regulatory approvals and other customary closing conditions. AMD expects the transaction to close by the end of 2026.

The planned acquisition reflects a shift in AI beyond systems that mainly process text and images. As research expands into reasoning, robotics, simulation and physical AI, the computing workloads behind these technologies are also changing. AMD says World Labs’ experience developing advanced models will give it a better understanding of those evolving demands and help inform its future technology roadmap.

San Francisco-based World Labs focuses on spatial intelligence. Its models can use text, images and video to create, reconstruct and simulate interactive three-dimensional environments. The company is also developing technology for robot learning and simulation.

That work could give AMD insight into the kinds of computing resources needed when AI systems must interpret space, interact with virtual environments or support machines operating in the physical world. These tasks can place different demands on processors, memory, software and interconnected systems than conventional AI applications.

For AMD, the agreement is not only a bet on a research team. Bringing model specialists into the company could help connect AI software development more closely with the design of the hardware and systems used to run it. The company says the acquisition advances its strategy of providing AI infrastructure through an open ecosystem.

An open approach matters because organizations building AI applications may use different models, software frameworks and hardware configurations. Supporting a broad range of tools and workloads can make infrastructure more adaptable as the field develops, rather than tying customers to a single way of building or deploying AI.

The all-stock structure means the $8.2 billion transaction will be paid in AMD shares rather than cash. Its eventual completion will depend on the required approvals, and the announced valuation does not mean the companies have already combined their operations.

Until the transaction closes, World Labs remains a separate company. If the deal proceeds as planned, its research capabilities will become part of AMD’s wider effort to develop computing infrastructure for emerging AI applications, including systems that model and interact with three-dimensional environments.
